1. Acceptance and Scope

These Terms of Service govern your access to and use of NamasteJAX.com, including account registration, free postings, paid postings, Contact Poster, testimonials, articles, events, and related features. By accessing or using the website, you agree to these Terms, the Privacy Policy, the Community Posting Guidelines, and the Refund Policy.

If you do not agree to these Terms, do not use the website.

2. About NamasteJAX

NamasteJAX is a community website serving the Greater Jacksonville, Saint Augustine, and Saint Johns area. The platform is designed to help people discover local resources, share events, promote businesses, connect with neighbors, and participate in community life.

3. Eligibility, Account Information, and Security

You must be at least 18 years old to create an account and submit listings, events, articles, testimonials, or advertisements on NamasteJAX. A parent or legal guardian may post on behalf of a minor where appropriate, but the account must be held by an adult.

NamasteJAX does not knowingly collect personal information from children under 13. If you believe a child under 13 has provided us with personal information without parental consent, please contact us immediately using the Contact Us page so we can remove that information. This website is not directed to children under 13, and use by children under 13 is strictly prohibited.

You agree to provide accurate, current, and complete information when you register and when you use the website.

You are responsible for protecting your login credentials and for all activity that occurs under your account. If you believe your account has been used without permission, use the Contact Us page promptly.

NamasteJAX may require email verification, hCaptcha, rate limiting, password rules, and other security controls before an account becomes eligible to post or use certain features.

4. Community Platform Only — No Brokerage, Investigation, or Endorsement

NamasteJAX is a community platform, not a broker, agent, marketplace operator, investigator, guarantor, certifier, or escrow service. Admin review is a limited content screening for obviously offensive, inappropriate, unlawful, or prohibited material. It is not a verification process and does not mean NamasteJAX has investigated, endorsed, or guaranteed any user, listing, business, event, property, article, or statement.

All transactions, arrangements, communications, and disputes between users or third parties are solely between those parties. NamasteJAX is not responsible for resolving disputes, collecting payments, enforcing off-platform promises, or guaranteeing outcomes.

5. Wellness, Spiritual, and Health Content Disclaimer

NamasteJAX is a community directory platform. Content on this website may reference yoga, meditation, spiritual guidance, holistic health practices, energy work, alternative therapies, nutritional advice, fitness services, and similar wellness-related topics submitted by independent third-party users.

NamasteJAX does not provide, endorse, verify, or guarantee any health, medical, psychological, nutritional, fitness, spiritual, or therapeutic advice or services listed or described on the website. Nothing on NamasteJAX constitutes professional medical, mental health, legal, financial, or therapeutic advice.

You are solely responsible for independently evaluating any wellness or health service provider before engaging their services. Always consult a licensed and qualified professional before making any health, medical, or therapeutic decisions. Your use of any service found through NamasteJAX is entirely at your own risk.

6. Your Content and License to NamasteJAX

You are solely responsible for the content you submit, including text, images, logos, business details, addresses, prices, event information, and any other material. You must have the rights, permissions, and authority needed to submit that content and allow it to be displayed or processed through the website.

By submitting content, you grant NamasteJAX a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, resize, crop, display, publish, distribute, moderate, archive, and remove that content as reasonably necessary to operate, secure, improve, market, and administer the platform and its services. This includes using excerpts, thumbnails, screenshots, or similar limited reproductions of submitted content for internal review, moderation, support, backup, trust and safety, or promotional materials that describe the platform.

NamasteJAX may edit titles, formatting, spelling, category placement, image order, or other non-substantive presentation details for housekeeping, consistency, moderation, or usability purposes, without taking responsibility for the underlying content.

Do not submit sensitive personal information in content intended for public display unless you want that information to be public.

7. Copyright Policy and DMCA Takedown Procedure

NamasteJAX respects the intellectual property rights of others and expects users to do the same. If you believe in good faith that content posted on NamasteJAX infringes your copyright, please submit a written notice to NamasteJAX via the Contact Us page that includes all of the following:

A description of the copyrighted work you claim has been infringed;

A description of the content you claim is infringing, with enough detail for NamasteJAX to locate it on the website;

Your contact information (name, address, telephone number, and email address);

A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;

A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf;

Your physical or electronic signature.

NamasteJAX will review properly submitted notices and, where appropriate, remove or disable access to the allegedly infringing content. Repeated infringers may have their accounts suspended or terminated. NamasteJAX reserves all rights to assert statutory safe harbor protections available under the Digital Millennium Copyright Act (DMCA) and other applicable laws.

8. Community Rules and Prohibited Conduct

You agree to follow the Community Posting Guidelines, which are incorporated into these Terms by reference.

Without limiting those Guidelines, you must not use NamasteJAX to post or promote illegal goods or services, stolen property, pornography, escort services, scams, deceptive advertising, unlawful housing preferences, malware, abusive content, hate speech, impersonation, defamation, private information of others without permission, or automated or bot-generated submissions.

You also must not scrape the site, harvest user data, bulk-message users, bypass security controls, test or probe vulnerabilities, interfere with site performance, misuse another person's account, or use the website for unlawful or harmful purposes.

9. Moderation, Publication, and Removal Rights

NamasteJAX has the right, but not the obligation, to review, approve, place on hold, refuse, remove, limit, reclassify, or edit content, suspend submissions, restrict account activity, or terminate access when needed to protect the platform, the community, or NamasteJAX's business interests.

NamasteJAX does not guarantee that any submission will be published, approved within a specific time, remain available for any minimum period beyond the applicable posting term, appear in any particular position, receive any minimum level of visibility, or remain free from complaints, takedown requests, or moderation action.

Previously approved free postings that are edited by the user may be removed from public view and returned to moderation until they are approved again. Paid postings may not be edited by the user after approval. If changes are needed after approval of a paid posting, a new posting must be created.

Places of Worship listings do not expire automatically. Other content may expire, be removed, or be purged according to the platform rules.

10. Paid Postings, Advertising Terms, and Performance Disclaimer

Certain sections of NamasteJAX are paid posting services. These include Local Businesses, Professional Services, Food and Catering, Wedding Services, Real Estate Listings, and Featured Business.

All paid postings are one-time purchases only. Recurring subscriptions and auto-renew are not supported at this time. Each paid section placement is a separate purchase. Buying one section does not grant placement in another section.

For approved paid postings, the service period begins on the Admin approval date, not the purchase date.

NamasteJAX does not guarantee leads, clicks, calls, inquiries, sales, bookings, traffic, search ranking, business results, or any other commercial outcome from a paid posting. A paid posting purchases placement for the applicable term subject to platform rules, not a guaranteed business result.

NamasteJAX may change pricing, categories, packages, visual presentation, search display, moderation workflows, technical requirements, and operational rules at any time for future purchases.

11. Billing, Refunds, Promo Codes, and Chargebacks

Paid postings are processed through Stripe Checkout. NamasteJAX does not store credit card numbers or card security codes on its own systems.

Refund rights are governed by the Refund Policy. If Admin is unable to publish an initial paid submission that has never yet become Active, a full refund may be issued because the paid service never officially started.

Except as expressly stated in the Refund Policy or required by law, paid posting purchases are final. User-requested cancellations, change-of-mind requests, requests to switch sections or durations, or dissatisfaction with results do not create an automatic refund right.

Chargebacks and Payment Disputes. Initiating a chargeback or payment dispute with your bank or card issuer without first contacting NamasteJAX to attempt resolution constitutes a material breach of these Terms. If you initiate a chargeback or payment dispute, NamasteJAX may immediately suspend or terminate the related posting and account, pursue all remedies available under applicable law, and provide relevant transaction and account information to Stripe, financial institutions, or professional advisors as reasonably necessary to respond to and contest the dispute. You agree to cooperate in good faith with any chargeback investigation.

12. Contact Poster

Contact Poster is an email relay, not a private messaging system. Anyone may use it where the feature is available, even without an account.

NamasteJAX sends Contact Poster messages only to the poster's account email address. The sender's email address is used as the Reply-To address so the poster can respond directly outside the website.

NamasteJAX does not expose the poster's email address to the sender, does not create a user-to-user inbox or chat thread, does not send routine sender or Admin copies, and does not maintain message history beyond temporary processing needed to deliver the email.

Because replies happen entirely outside the website, NamasteJAX has no visibility into, control over, or responsibility for any communications, transactions, disputes, or outcomes that arise after a Contact Poster message is delivered. Use of Contact Poster is at your own risk.

13. Testimonials

Testimonials must reflect real experiences with NamasteJAX. By submitting a testimonial, you confirm that it is truthful, based on your real experience, and may be edited for minor formatting, grammar, or clarity without changing its basic meaning. NamasteJAX may decline, remove, or shorten testimonials for moderation, legal, space, tone, or platform-fit reasons.

14. Intellectual Property and Site Use Restrictions

The NamasteJAX name, logo, site design, site text created by NamasteJAX, and other platform materials that are not user-submitted content are owned by NamasteJAX or its licensors and are protected by applicable intellectual property laws.

Except as allowed by law or with written permission, you may not copy, scrape, frame, mirror, reverse engineer, republish, distribute, or commercially exploit site materials or platform functionality.

Nothing in these Terms transfers ownership of NamasteJAX intellectual property to you.

15. Third-Party Services

NamasteJAX may use or link to third-party services that are not controlled by NamasteJAX, including Stripe Checkout, hCaptcha, analytics tools, hosting services, email-delivery services, and external websites linked by users.

Those third parties operate under their own terms, privacy practices, and security controls. NamasteJAX is not responsible for their content, conduct, availability, payment handling, privacy practices, or performance.

16. Privacy

Your use of the website is also governed by the Privacy Policy. By using the website, you acknowledge that NamasteJAX may process information as described there and may send operational emails that are necessary for account security, moderation, transactions, refunds, posting status updates, and other core platform functions.

17. Account Deletion, Suspension, Termination, and Record Preservation

You may be able to delete your account through the account area, subject to the platform's posting and payment workflow rules. Active paid listings may need to be deleted individually before account deletion can be completed. Paid postings in Paid Pending Approval or Held status may block self-serve account deletion until they are resolved.

NamasteJAX may suspend, restrict, or terminate accounts, remove content, preserve records, and block submissions when needed to protect the community, enforce these Terms, address abuse, fraud, chargebacks, repeated complaints, policy violations, legal risk, or security concerns.

Termination or suspension does not eliminate your responsibility for conduct that occurred before termination, including payment obligations, misuse of content, policy violations, or misuse of the platform.

18. Disclaimers

The website, all content, and all features are provided on an AS IS and AS AVAILABLE basis. To the fullest extent permitted by law, NamasteJAX disclaims warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and quiet enjoyment.

Listings and services on NamasteJAX may involve tutoring, consulting, real estate assistance, spiritual guidance, yoga, meditation, holistic wellness, legal, medical, financial, childcare, pet care, repair services, or other third-party services. NamasteJAX does not provide or endorse professional advice of any kind, and you remain responsible for your own decisions, independent judgment, and due diligence.

NamasteJAX does not warrant that the website will be uninterrupted, error-free, secure, or free of harmful components, or that defects will always be corrected. Any reliance you place on user-submitted content, user interactions, public listings, Contact Poster communications, or third-party services is at your own risk.

19. Force Majeure

NamasteJAX will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions or orders, internet or telecommunications outages, cyberattacks, third-party service provider failures, power failures, labor disputes, or any other event outside NamasteJAX's reasonable control. In the event of such a circumstance, NamasteJAX's obligations will be suspended for the duration of the event, and NamasteJAX will resume performance as soon as reasonably practicable.

20. Limitation of Liability

To the fullest extent permitted by law, NamasteJAX will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for any loss of data, business, goodwill, opportunity, or reputation arising out of or related to your use of or inability to use the website, even if NamasteJAX has been advised of the possibility of such damages.

To the fullest extent permitted by law, NamasteJAX's total aggregate liability for claims arising out of or related to the website or any paid posting will not exceed the greater of (a) the total amount you paid to NamasteJAX for the specific paid posting that gave rise to the claim during the 12 months before the event giving rise to the claim, or (b) one hundred US dollars ($100.00).

Where applicable law does not allow certain warranty disclaimers or liability limitations, those parts of these Terms apply only to the fullest extent permitted by law.

21. Indemnification

You agree to defend, indemnify, and hold harmless NamasteJAX and its owner, operators, contractors, agents, and service providers from and against claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your content; (b) your use of the platform; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement of the rights of any third party. NamasteJAX reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with such defense.

22. Informal Dispute Resolution

Before filing any legal action, you agree to contact NamasteJAX in good faith using the Contact Us page and describe your concern in reasonable detail. NamasteJAX will attempt to resolve your concern informally within thirty (30) days of receiving notice. This informal resolution requirement is a condition precedent to filing any claim or legal action against NamasteJAX. Either party may bypass this informal process only where injunctive or other emergency equitable relief is sought to prevent immediate and irreparable harm.

23. Governing Law, Venue, and Individual Claims

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

Any dispute arising out of or relating to the website or these Terms must be brought exclusively in the state or federal courts located in or serving Duval County, Florida, and you consent to personal jurisdiction and venue there.

To the fullest extent permitted by law, claims must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

24. Limitation on Time to Bring Claims

To the fullest extent permitted by applicable law, any cause of action or claim you may have, arising out of or relating to these Terms or the website must be commenced within one (1) year after the claim accrues; otherwise, such cause of action or claim is permanently barred. This limitation applies regardless of any statute of limitations to the contrary under applicable law.

25. Changes to the Website or These Terms

NamasteJAX may update, suspend, discontinue, or change features of the website at any time, including posting categories, pricing, moderation workflows, technical requirements, and operational rules.

NamasteJAX may update these Terms from time to time. Updated Terms will be posted on the website with a revised Last Updated date. Continued use of the website after the updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the website.

26. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it will be severed from these Terms. The remaining provisions will continue in full force and effect and will not be affected by the invalidity of any other provision.

27. No Waiver

No failure or delay by NamasteJAX in exercising any right, power, or privilege under these Terms will operate as a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege will preclude any other or further exercise of it, or the exercise of any other right, power, or privilege. A waiver of any breach or default under these Terms will not constitute a waiver of any subsequent breach or default.

28. Entire Agreement

These Terms, together with the Privacy Policy, the Community Posting Guidelines, and the Refund Policy (all incorporated herein by reference), constitute the entire agreement between you and NamasteJAX with respect to your use of the website and supersede all prior or contemporaneous understandings, representations, warranties, and agreements, whether written or oral, relating to the website. In the event of any conflict between these Terms and any other policy document incorporated by reference, these Terms will control unless the other policy document expressly states otherwise.
